These Terms of Service ("Terms") govern your access to and use of the services, platform, and APIs provided by Sherlockeye Tecnologia Ltda. ("Sherlockeye", "we", "our", or "us"), registered in Brazil under CNPJ 57.793.041/0001-08. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

These Terms should be read together with our Privacy and Security Policy, which is incorporated herein by reference.

1. Eligibility

You must be at least 18 years of age to use Sherlockeye's services. By creating an account, you represent and warrant that:

• You are at least 18 years old;

• You have the legal capacity to enter into a binding agreement;

• Your use of the platform complies with all applicable laws and regulations in your jurisdiction;

• You are accessing the platform for a legitimate professional or institutional purpose.

Sherlockeye reserves the right to terminate any account found to be in violation of these eligibility requirements.

2. Account Registration

Access to Sherlockeye's platform is available to any individual or organization that completes the registration process. By registering, you agree to:

• Provide accurate, current, and complete information during registration;

• Maintain and promptly update your account information;

• Keep your login credentials and API tokens confidential and secure;

• Notify us immediately at contact@sherlockeye.io of any unauthorized access to your account.

You are solely responsible for all activity that occurs under your account. Sherlockeye is not liable for any loss or damage arising from your failure to maintain the security of your credentials.

3. Plans and Access

Sherlockeye offers the following access tiers:

• Free Plan — limited access to platform features and API queries at no charge;

• Paid Plans — expanded access to features, higher query limits, and additional capabilities, available via subscription.

The specific features, limitations, and pricing of each plan are detailed on our pricing page at sherlockeye.io/pricing. Sherlockeye reserves the right to modify plan features and pricing with prior notice to users.

4. Billing and Payment

Paid plans are billed on a recurring basis (monthly or annually, depending on the selected plan). By subscribing to a paid plan, you authorize Sherlockeye to charge your designated payment method on each renewal date.

• Payments are processed by our third-party payment provider. Your payment information is not stored by Sherlockeye.

• Failure to complete payment may result in downgrade to the free plan or suspension of your account.

• All prices are listed in the currency displayed at checkout and are inclusive of applicable taxes unless stated otherwise.

5. Refund Policy

You may request a refund within 7 days of a charge by contacting contact@sherlockeye.io with the subject line "Refund Request", including your registered email address and the date of the charge. Refund requests submitted after this period will not be honored.

Refunds are calculated proportionally based on unused search credits at the time of the request:

• No credits used — full refund of the amount charged;

• Partial credits used — refund proportional to the remaining unused credits (e.g., if 40% of credits were consumed, a refund of 60% of the charge will be issued);

• All credits used — no refund will be issued, as the full value of the plan has been delivered.

The number of credits consumed is determined by Sherlockeye's usage records at the time the refund request is received, which are available for review in your account dashboard.

Refunds are not available for:

• Accounts suspended due to Terms violations;

• Charges older than 7 days from the date of the request.

6. Acceptable Use

Sherlockeye's platform is intended exclusively for lawful, professional open-source intelligence (OSINT) purposes. By using our services, you agree not to:

• Use the platform to harass, stalk, threaten, or harm any individual;

• Conduct searches on individuals without a legitimate legal or professional basis;

• Violate any applicable privacy law, including Brazil's LGPD or the EU's GDPR;

• Attempt to reverse-engineer, scrape, or extract data from the platform in an unauthorized manner;

• Use automated tools, bots, or scripts to exceed your plan's query limits;

• Share, resell, or sublicense access to the platform or API without prior written consent from Sherlockeye;

• Use the platform in connection with any illegal activity, including fraud, identity theft, or unlawful surveillance;

• Attempt to gain unauthorized access to any part of the platform, its infrastructure, or other users' accounts.

Sherlockeye reserves the right to determine, at its sole discretion, whether a use case constitutes a violation of these terms.

7. Account Suspension and Termination

Sherlockeye may immediately suspend or terminate your account, without prior notice, if we determine that you have:

• Violated any provision of these Terms;

• Engaged in fraudulent, abusive, or illegal conduct;

• Provided false information during registration;

• Posed a risk to the security or integrity of the platform or other users.

Upon termination, your access to the platform will cease immediately. Any data associated with your account will be handled in accordance with our Privacy and Security Policy. Termination does not entitle you to a refund except as provided in Section 5.

8. Intellectual Property

All content, features, software, trademarks, and technology made available through the Sherlockeye platform are the exclusive property of Sherlockeye Tecnologia Ltda. or its licensors. These Terms do not grant you any ownership rights in the platform or its content.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from any part of the platform without prior written consent from Sherlockeye.

9. Data and Search Results

Search results provided by Sherlockeye are sourced from publicly available information at the time of the query. Sherlockeye does not guarantee the accuracy, completeness, or currency of any search results.

• Encrypted search logs are retained for a maximum of 30 days and are then automatically deleted.

• Users are responsible for saving results locally if long-term retention is needed.

• Sherlockeye does not update stored results automatically; a new query must be performed to obtain current data.

You acknowledge that the use of search results is your sole responsibility and that Sherlockeye assumes no liability for decisions made based on data obtained through the platform.

10. Disclaimer of Warranties

The platform and all services are provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Sherlockeye does not warrant that:

• The platform will be uninterrupted, error-free, or free of harmful components;

• Search results will be accurate, complete, or up to date;

• The platform will meet your specific requirements or expectations.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Sherlockeye and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform, including but not limited to loss of data, loss of revenue, or reputational harm.

Sherlockeye's total liability for any claim arising under these Terms shall not exceed the amount paid by you to Sherlockeye in the 3 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sherlockeye and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the platform in violation of these Terms;

• Your violation of any applicable law or third-party rights;

• Any data or content you submit, process, or obtain through the platform.

13. Modifications to the Service and Terms

Sherlockeye reserves the right to modify, suspend, or discontinue any part of the platform at any time, with or without notice. We will notify users of material changes to these Terms via email or a prominent notice on the platform. Your continued use of the platform after such notification constitutes acceptance of the updated Terms.

The version number and effective date at the top of this document will always reflect the most current revision.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising from or related to these Terms or your use of the platform shall be submitted to the exclusive jurisdiction of the courts of Porto Alegre, Rio Grande do Sul, Brazil.

15. General Provisions

• Entire Agreement — These Terms, together with the Privacy and Security Policy, constitute the entire agreement between you and Sherlockeye regarding your use of the platform.

• Severability — If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

• Waiver — Sherlockeye's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

• Assignment — You may not assign your rights or obligations under these Terms without prior written consent from Sherlockeye. Sherlockeye may assign its rights freely.

• Language — In the event of any conflict between a translated version of these Terms and the English version, the English version shall prevail.
